OpGen Announced 1-for-20 Reverse Stock Split

The Reverse Stock Split will become effective at 12:01 a.m. EST, on January 5, 2023 and the Company’s common stock will open for trading on The Nasdaq Capital Market on a post-split basis under the Company’s existing trading symbol “OPGN.” The new CUSIP number for the Company’s common stock following the Reverse Stock Split will be 68373L406.

OpGen expects that the Reverse Stock Split, which was approved by its stockholders at a Special Meeting held on November 30, 2022, will increase the market price per share of common stock in order to regain compliance with The Nasdaq Capital Market’s minimum bid price listing requirement of $1.00 per share.

Information for Stockholders

At the effective time of the Reverse Stock Split, every twenty (20) shares of OpGen’s issued and outstanding common stock will be automatically converted into one (1) issued and outstanding share of common stock without any change in the par value of $0.01 per share. The Reverse Stock Split will reduce the Company’s number of shares of outstanding common stock from approximately 58.0 million shares to approximately 2.9 million shares. Proportionate adjustments will be made to the conversion and exercise prices of the Company's outstanding stock purchase warrants, stock options, and restricted stock units.

Slot gisteren $2,32 na een low van $2,28 , omgerekend dus $0,116 en $0,114 , net boven de all time low van $0,111 in december '22.
Het zal niemand verbazen als die morgen gebroken wordt en we binnenkort de $2 slechten.
En waar ik zei onder $1 binnen 2 jaar, vrees ik vanwege de omvang van die eerste emissie, dat het maar een jaartje gaat duren.

Onder $2 nog niet, maar een nieuwe ATL werd gisteren wel gezet, op $2,04 (=$0,102).
Heeft alles te maken met de gepubliceerde voorlopige cijfers.
- Omzet $2,7mio , dat is dus slechts de helft van de voorspelling ten tijde van overname curetis
- Einde jaar nog $7,4mio in kas, betekent een cashburn van meer dan $30mio in 2022
- En zoals gemeld, de kas is meteen na de RSS aangevuld met vrijwel een verdubbeling van het aantal uitstaande aandelen en nog leverde dat 'maar' $7,5mio op (na kosten zelfs maar $6,8mio). Betekent dus dat er binnen een maand of 3 alweer nieuw kapitaal opgehaald moet worden, al was het maar om het salaris van de CEO te kunnen betalen (dik $400k base salary)

Nou nou, het is bijna niet bij te houden.
Na de eerste doorbraak van $2 bivakkeert de koers daar nu eigenlijk permanent onder. Inmiddels is de ATL gezet op $1.72 en blijft de koers deze week hangen rond $1.80 , 9 cent pre-split dus.
Zelfs de toekenning van een onduidelijk Chinees patent aan Ares bracht geen opleving, dus lijkt het wachten op bericht over de volgende financieringsronde, die nog meer verwatering zal brengen.

Zelfs dat zal wel te optimistisch blijken.
Gisteren al de $1,53 aangetikt en vandaag premarket ook alweer.

Nog 53 cent en de volgende notice van Nasdaq kan worden geschreven.

Bodem vandaag nog slechts $1.34 tot nu toe. Elke dag 10 cent er af, dan staan we eind van de week weer onder $1.
Moet zeggen, voor de gok wordt het wel weer interessant nu.

En daar wastie dan. In 1 enorme dump om 1400 stond de koers even op $0.98, precies een maand en 10 dagen nadat de koers via een reverse split weer boven de $1 werd gezet.
Koerst nu weer op $1.10 , dus nog geen directe notificatie van Nasdaq, maar dat zal toch echt maar een kwestie van tijd zijn.

Ongelofelijk dat dit soort legale fraude zomaar kan op een gerespecteerde beurs.

Blijft lastige materie, die prefunded warrants, want ik snap niet helemaal hoe je kunt verdienen op een pakket aandelen+warrants waar $2.90 per stuk voor is betaald, terwijl daarna de prijs alleen maar ruim lager is beland. Dat laatste overigens ook nog eens door toedoen van de koper van die warrants, want die wil en mag geen te groot % belang krijgen door uitoefening van de warrants en verkoopt dus gelijk tegen elke prijs.

Nu alle warrants zijn omgezet, zou dat dus wel kunnen betekenen dat er wat rust of zelfs stijging van de koers gaat komen, maar voordat je het weet, wordt er alweer een nieuwe emissie aangekondigd.

Hmm, I was wrong. Na een paar dagen relatieve rust waarin de koers inderdaad licht opveerde naar $1.20 , gaat het vandaag weer flink naar beneden, tot nu toe kort onder $1. Op het moment weer $1.04 , maar het is natuurlijk de vraag of dat zo blijft.

Het kwartje van Bones is terug.
Na een ATL afgelopen woensdag op $0,93 vandaag een top bereikt van $1,33 met groot volume.
Uiteraard wel voor mensen met ballen, want het businessmodel ziet er steeds ongeloofwaardiger uit.
Bij de volgende duik onder $1 doe ik weer eens mee voor de gok.

Waarvan akte op $0,88.
Na een hoopvolle periode van een aantal weken met wat goede nieuwtjes, lijken die vooral bedoeld geweest om de koers wat op te krikken.

Hey dagevos, even speciaal voor jou. Onderstaande quote komt uit de toelichting op de '23Q1 cijfers, maar zou ook uit een pb van 2018 kunnen zijn.
Bottom line : als je in 1 kwartaal evenveel cash verbrand als je in 1 jaar aan omzet hebt en je doet dat al jaren, dan zal de gemiddelde belegger niet snel het idee krijgen dat dit nog een succes wordt.
