POET Technologies Advances Toward Nasdaq Listing

TORONTO, Feb. 22, 2022 (GLOBE NEWSWIRE) -- POET Technologies Inc. (“POET” or the “Company”) (TSX Venture: PTK; OTCQX: POETF), the designer and developer of the POET Optical Interposer™ and Photonic Integrated Circuits (PICs) for the data center and tele-communication markets, today announced as the key next step in its Nasdaq listing process that it has determined to proceed with a ten-for-one consolidation (“the Consolidation”) of its common shares (“Common Shares”) in order to meet Nasdaq listing requirements and the Company’s own post-consolidation price target.

The Company expects that trading of the Common Shares on a post-consolidation basis on the TSX Venture Exchange (the “TSXV”) will commence on or about Monday, February 28, 2022. The Company’s name and trading symbol (“PTK”) on the TSXV will remain unchanged. The Consolidation was previously approved by the Board on the recommendation of its Subcommittee, as well as by shareholders at the recent annual general and special meeting of shareholders of the Company.

The Board believes the Consolidation will result in a number of potential benefits to POET, including meeting the minimum bid price requirement for the Nasdaq listing and achieving a post-Consolidation share price target that will support attracting a broader institutional investor base for the Company. The Company has been notified that an approval letter from the Nasdaq will be issued following a minimum 5 days of trading of its post-consolidated shares on the TSXV. The Company’s common shares are expected to begin trading on the Nasdaq approximately 7 – 10 days following consolidation, but the timing cannot be assured. Once final, the Company’s shares will trade on the Nasdaq Capital Market under the symbol “POET”.

The Consolidation has no material impact on the dollar value of investor’s shares. The 364,967,272 Common Shares currently issued and outstanding will be reduced to approximately 36,496,727 Common Shares on a post-consolidation basis. No fractional Common Shares will be issued as a result of or upon the Consolidation. All fractions of post-consolidation Common Shares will be rounded down. Outstanding stock options and share purchase warrants will also be adjusted to give effect to the Consolidation in accordance with their terms. The Consolidation will not affect any Shareholder’s percentage ownership in the Company other than by the minimal effect of the elimination of fractional Common shares, even though Shareholder ownership will be represented by a smaller number of Common Shares.

Letter of transmittals have been mailed to registered Shareholders and registered Shareholders will be required to deposit their share certificate(s), together with the duly completed letter of transmittal, with Computershare Investor Services Inc., the Company's registrar and transfer agent. Non-registered Shareholders holding Common Shares through an intermediary (a securities broker, dealer, bank or financial institution) should be aware that the intermediary may have different procedures for processing the Consolidation than those that will be put in place by the Company for registered Shareholders. (“POET” or the “Company”) (TSX Venture: PTK; NASDAQ: POET), the designer and developer of the POET Optical Interposer™ and Photonic Integrated Circuits (PICs) for the data center, tele-communication and artificial intelligence markets, today announced that it has released to production four optical engines, an achievement that advances the Company’s commercialization goals. The small form factor optical engines with integrated directly modulated lasers (DMLs), optical multiplexer, high-speed photodiodes and optical demultiplexer enable low power, cost-efficient and highly scalable 100G CWDM4, 200G FR4 and 400G FR4 pluggable transceivers for telecom and data center markets.

POET reached its production release milestones while working with Super Photonics, the joint venture company formed with Sanan IC of Xiamen, China. POET and Super Photonics have jointly completed design verification testing and reliability testing of the optical engines per relevant industry standards. ADVA will use POET’s multi-engine transmit and receive chips in an innovative pluggable solution that packs the functionality of four independent 100Gbit/s interfaces into a single QSFP-DD housing.

POET will partner with Luxshare Technology Co., Ltd. (“LuxshareTech”), a global technology provider for data-communication facilities and enterprise-level products to enable the sale of power-efficient and cost-optimized 400G and 800G transceiver solutions.

(”BFYY”) to design optical engines for deployment in optical modules in the telecom market globally, beginning in China. BFYY was recently formed for the purpose of selling modules using POET-designed optical engines sourced from POET’s joint venture company, Super Photonics Xiamen (“SPX”). With deep connections to the telecom industry in China, BFYY is investing in assembly facilities to build, market and sell modules that will be competitive in the data center market, specifically focused on large telecom service providers.

POET has agreed to design a single-chip optical engine solution, that incorporates complete transmit and receive functionalities for implementation in a 100G optical transceiver for BFYY’s initial product offering. The unique single-chip solution, called ”POET ONE™”, will offer significant performance advantages along with minimizing the transceiver design cycle time for BFYY. POET has entered into an agreement with Celestial AI, creators of the Photonic Fabric™, for development and production of POET Starlight packaged light sources and has received an advanced purchase order for initial production units.

The POET Starlight products are packaged light engines based on POET's LightBar™ platform, which recently earned industry praise when it was demonstrated at OFC. Chip developers are working to redesign the core of computer architecture to incorporate light for communication among chips or to perform complex computations, all in an effort to eliminate the bandwidth and power-efficiency bottlenecks inherent in electronic devices. Valued at more than US$3 million, the purchase order was placed by Beijing FeiYunYi Technology Ltd. (”BFYY”), which will produce optical transceiver modules using POET-designed optical engines for sale to telecom and data center markets globally. This initial volume purchase order was placed against BFYY’s 3-year forecast of US$30 million in expected optical engine purchases.

With deep connections to the telecom industry in China, BFYY is investing heavily in transceiver module design and manufacturing to build, market and sell optical transceiver modules specifically focused on large telecom and data center service providers. The modules incorporate POET Optical Interposer-based optical engines which are assembled with components, tested and sold by POET’s 80%-owned JV company, SPX.

POET Technologies Announces Sample Availability of “POET Infinity” and Testing with Two Lead Customers

TORONTO, June 14, 2023 (GLOBE NEWSWIRE) -- POET Technologies Inc. (“POET” or the “Company”) (TSXV: PTK; NASDAQ: POET), the designer and developer of the POET Optical Interposer™ and Photonic Integrated Circuits (PICs) for the data center, telecommunication and artificial intelligence markets, today announced alpha sample readiness of “POET Infinity™”, a chiplet-based transmitter platform for 400G, 800G and 1.6T pluggable transceivers and co-packaged optics solutions. Two lead customers have agreed to partner with POET to test the alpha version of the Infinity chiplet.

The POET Infinity chiplet complements the POET 800G 2xFR4 Receiver optical engine that the Company announced in February 2023, and completes the 800G chipset for 2xFR4 QSFP-DD or OSFP applications with two Infinity chiplets and one Receiver optical engine. Both customers intend to develop 800G 2xFR4 QSFP-DD and OSFP transceiver solutions using the POET Optical Engine chipsets.

The Infinity chiplet is the industry’s first implementation of directly modulated lasers (DMLs) for 100G/lane applications. DMLs are power efficient, cost effective and become a highly scalable solution when paired with the POET Optical Interposer™ platform. The chiplet incorporates 100G PAM4 DMLs, DML Drivers and an integrated optical multiplexer for a complete 400GBASE-FR4 transmitter solution on a chip. The small size of the chiplet and a daisy-chain architecture enables side-by-side placement of multiple instances to achieve 800G and 1.6T speeds.
