Rabobank announces EUR 1 billion cash tender offer on Rabobank Certificates
16 April 2024 8:00

Today, Coöperatieve Rabobank U.A. (“Rabobank”) announces an invitation to eligible holders of the outstanding EUR 7,825,136,525 Rabobank Certificates (ISIN: XS1002121454) issued by Stichting AK Rabobank Certificaten (the “Certificates” and holders of such Certificates, the "Holders") to tender such Certificates to Rabobank for purchase for cash (the "Tender Offer") up to (and including) a maximum purchase consideration of EUR 1 billion, on the terms and subject to the conditions described in the tender offer memorandum dated 16 April 2024 (the “Tender Offer Memorandum”).

The Tender Offer Memorandum and other tender offer documents are available from the Tender Agent and available at www.rabobank.com/certificates as set out below.

The purpose of the Tender Offer is to allow Rabobank to actively manage its capital efficiency while maintaining a strong balance sheet.
KEY TERMS AND INDICATIVE TIMETABLE

Rabobank offers eligible Holders a purchase price for each Certificate validly tendered and accepted for purchase pursuant to the Tender Offer (following any scaling) equal to the sum of:

(i) a cash purchase price (expressed as a percentage) equal to 108.50 per cent of the nominal amount of each Certificate (i.e., EUR 27.125 per EUR 25 nominal amount) (the "Clean Purchase Price"); and

(ii) an amount equal to the amount attributable to potential future distributions payable by purchasers of Certificates to the respective sellers of such Certificates on the Settlement Date in respect of trades on Euronext Amsterdam as per customary practice on Euronext Amsterdam (the "Amount Attributable to Potential Future Distributions"),

which together, constitute the "Purchase Price".

Based on the settlement expected to take place on 3 May 2024 and subject to any extension of the Tender Offer period and related deferral of the Settlement Date, the Amount Attributable to Potential Future Distributions per Certificate validly tendered and accepted for purchase pursuant to the Tender Offer is expected to be 0.6319 per cent. of the nominal amount of the Certificates (i.e., EUR 0.15798 per EUR 25 nominal amount).

The Amount Attributable to Potential Future Distributions payable as part of the Purchase Price reflects the trading mode of the Certificates on Euronext Amsterdam (i.e., a 'clean' quoted price and separate payments related to potential future distributions), does not constitute a distribution on any Certificate, does not guarantee any future distributions and is without prejudice to the full discretion of the Managing Board of Rabobank to elect not to make distributions on Certificates at any time.

The Tender Offer commences today and will expire at 17.00 hours CET on 30 April 2024 (the "Expiration Deadline"), unless extended, withdrawn, re-opened or terminated in the sole and absolute discretion of Rabobank, as provided in the tender offer memorandum. The results of the Tender Offer will be announced as soon as practicable following the Expiration Deadline. Settlement is expected to take place on 3 May 2024.

Subject to Rabobank's absolute discretion to accept or reject Tender Instructions in whole or in part and to scale
such Tender Instructions in case of oversubscription, Rabobank will use reasonable endeavours to:
(A) calculate scaled acceptance of Tender Instructions in case of oversubscription by multiplying the
aggregate Purchase Price payable in respect of the Certificates represented by each validly
submitted Tender Instruction by a scaling factor, determined by reference to (i) the Maximum
Purchase Consideration divided by (ii) the aggregate Purchase Price payable in respect of the
Certificates validly tendered in the Tender Offer (subject to adjustment to allow for acceptance in
accordance with paragraphs (B), (C) and (D) below, and subject to adjustment to allow for the
aggregate Purchase Price payable in respect of Certificates accepted for purchase, following the
rounding of Tender Instructions as set out below, to be as close as possible to or to equal exactly
the Maximum Purchase Consideration);
(B) accept any Tender Instructions representing a nominal amount of EUR 100,000 or less in full and
accept Tender Instructions representing a nominal amount of more than EUR 100,000 for a nominal
amount of at least EUR 100,000. Rabobank reserves the right to reduce these thresholds at its
discretion, including if the Tender Offer is oversubscribed by Tender Instructions representing a
nominal amount of EUR 100,000 or less alone;
(C) apply the scaling factor (to the extent practicable, and adjusted as may be applicable) to each valid
Tender Instruction in such a manner as will result in the relevant Holder's residual amount of
Certificates (being the nominal amount of the Certificates the subject of the relevant Tender
Instruction that are not accepted for purchase by virtue of such scaling) amounting to either (i) at
least the Minimum Denomination (being EUR 25) or (ii) zero;
(D) treat valid Tender Instructions representing the same amount in the same way; and
(E) round the number of Certificates accepted to a whole Certificate (or to nil, as the case may be).
Depending on how a Holder holds its Certificates, financial intermediaries, custodians, banks and
stock brokers may apply their own conditions which may result in rounding of fractions up or down,
as the case may be

Laten we even alles op een rijtje zetten. Ik ben aan het bedenken of dit nieuws de komende week een positief of negatieve invloed zal hebben.

Postief:
- De certificaten worden ruim boven de huidige koers opgekocht, (maar deze koers stond wel laag wegens onzekerheden rondom organisatie).
- In de nabije toekomst zal de rente door de ECB en FED vroeg of laat toch verlaagd gaan worden, ondanks de tegenvallende cijfers uit Amerika. Al duurt het daardoor een paar maand langer.
- Rabobank laat zien dat het financieel gezond is door deze actie.

Negatief:
- 1e keer dat er certificaten worden teruggekocht waardoor men toch banger wordt bij een hogere koers van 110+ omdat de stap naar nieuwe aflossingen nu minder groot lijkt. Altijd de gedachte geweest "zullen ze toch niet doen". Daarbij weten we niet tegen welke koers dit zal zijn. In theorie mogen ze dit tegen 100% doen. Hoewel ze dit wegens imagoschade niet snel zullen doen.
- Rente ECB toch later dan verwacht verlaagd, misschien zelfs niet eens in juni. Maar dit geld voor meerdere aandelen/obligaties.
- Er zal nu mogelijk een onzichtbare barriere gevormd worden rond de 108.5 omdat veel beleggers het niet hoger durven in te kopen dan dat de rabobank dit zelf deed.
- Rabobank's reorganisatie geeft toch angst bij de beleggers. Onzekerheid is nooit goed. Waarbij het theoretisch mogelijk is dat zede couponrente gaan wijzingen, en dat ze expres een deel inkopen nu om zo minder crimineel te lijken in de toekomst bij couponwijzigingen.

Al met al denk ik dat het een positief signaal is, maar dat het er wel voor gaat zorgen dat de certificaten de 140% nooit meer zullen zien. Ik denk dat veel mensen vanaf 120% toch zullen gaan liquideren. Ik ben benieuwd naar jullie meningen over het effect hiervan op de korte termijn koers.

Reageer even normaal alsjeblieft. Als ik transacties doe wil ik goed geïnformeerd zijn. Dit staat op de website van de Rabobank.

Begrijp ik hieruit goed dat je het bedrag pas na 3 mei krijgt uitgekeerd en dan ook pas te horen krijgt of je bij de groep hoort waarbij de aankoop 'geaccordeerd' is?

Ik stel dit soort vragen omdat ik dan weet of het zin heeft me in te schrijven.
