   As previously announced on October 14, 2024, Unifiedpost has utilised part of the proceeds from the sale of the Wholesale Identity Access business to reduce its debt obligations to Francisco Partners Credit. Upon completion of the transaction, Unifiedpost repaid a principal amount of €75 million, along with accrued and due interest, bringing the total repayment to €94,8 million The remaining balance, consisting of a principal amount of €25 million and accrued and due interest, is estimated to be settled no later than March 31, 2025.
   
   Ik stel mij zo voor dat deze terugbetaling nog niet heeft plaatsgevonden.
   Hiervoor zijn ongetwijfeld de euro’s van de verkoop van 21 grams nog nodig….
   
   Hoe staat het daar eigenlijk mee?

   Hiervoor zijn ongetwijfeld de euro’s van de verkoop van 21 grams nog nodig….

   Heb het even opgezocht…..
   
   Er wordt op 1 juni een besluit van de Zweedse mededingingsautoriteit verwacht, wat de concurrentievoorwaarden op de brievenmarkt zou kunnen veranderen. Vervolgens zal de autoriteit bekendmaken of Postnord het bedrijf 21 Grams mag overnemen.

   Postnord veroorzaakt onrust in de sector met zijn plannen om het bedrijf 21 Grams over te nemen. Nu wachten we op een antwoord van de Zweedse Mededingingsautoriteit. Als de deal groen licht krijgt, komt de vrije markt in gevaar, waarschuwt Niklas Hydén, CEO van Citymail. “De eindklant moet de rekening betalen”, zegt hij.

   La Hulpe, Belgium - 30 May 2025, 10:30 p.m. CET - Banqup Group SA, formerly Unifiedpost Group SA, (Euronext: UPG) (Banqup, Company), a leading provider of integrated business communications solutions, today announced it has received approval from the Swedish Competition Authority for the sale of all shares in the 21 Grams Group to PostNord Strålfors AB.
   
   The approval from the Swedish Competition Authority represents an important step toward completing the previously announced transaction. The Swedish Competition Authority has published its approval decision on its website.
   
   Parties are planning to close in the first half of 2025.

   Zeer belangrijk!
   Het voorkomt een acuut drama en geeft wat langer de tijd om aanvullende financiering te regelen.
   Ik mag hopen dat men begrijpt dat het van belang is om dit te regelen voor de publicatie van de halfjaarcijfers.

   Dit bedrijf heeft geen financiering meer nodig. Met de groei de komende maanden zijn ze eind dit jaar fcf positief. Met de deal 21 Grams komt er 18 miljoen binnen. Genoeg cash dus om laatste deel lening Francisco Partners terug te betalen. Dan zijn ze een groeibedrijf met 0€ schulden.

   U heeft blijkbaar niet de moeite genomen om nog even te kijken hoe hoog die restschuld ook alweer was...?
   
   Eindejaar fcf positief is een belofte die vorig jaar ook werd gedaan,.
   
   Wellicht is het goed om u te realiseren dat de eerste 3 kwartalen dus in ieder geval fcf negatief gaan zijn.
   
   Daarnaast is het goed om.ook de "kleine lettertjes" te lezen. Helaas is het niet zo dat fcf positief betekent dat er per definitie meer geld binnen komt dan dat er uitgaat.....

    12 miljoen start 2025. 18 miljoen 21 grams. 6 miljoen closing deal Nederland. Niet gebruikte kredietlijn 16 miljoen. Totaal beschikbare cash 52 miljoen. Schuld 30 miljoen. Zie niet echt het probleem.

    Er waren nog veel vraagtekens eind 2024. Maar alles gaat de goede richting uit. Closing deal Nederland, closing deal 21 Grams, naderende verplichte e-facturatie België/Frankrijk/Duitsland/etc wat aanzienlijk zakencijfer zal genereren. 2 jaar geleden had ik er ook geen goed gevoel meer bij, maar vandaag zie ik de toekomst van dit bedrijf zeer positief.

    Negeer het onvermogen om uiterlijk Q1 2025 FP leningen terug te betalen
    Negeer de waarschuwing van de accountant
    Verzin een ongebruikte kredietlijn
    Negeer lopende verliezen
    
    Ik zie ook een positieve toekomst. Er zijn nog wel “een paar” hobbels te nemen. De vraag is in hoeverre de zittende aandeelhouder hiervoor gaat bloeden……..

    The transaction was announced on 5 July 2024 and has been completed following the fulfilment of all conditions precedent, including the approval from the Swedish Competition Authority granted on 30 May 2025.
    
    The transaction has been completed for a preliminary cash consideration of SEK 158,7 million, on a cash- and debt-free basis, based on an enterprise value of SEK 200 million. The final purchase price remains subject to customary post-closing adjustments, including a review of 21grams' closing accounts. Of the total consideration, SEK 23,5 million remains in escrow for a term of nine months. In addition, SEK 48,4 million of intercompany receivables between Banqup and the 21grams group entities has been settled as part of this transaction.
    The proceeds will be used to strengthen Banqup’s balance sheet and to further reduce its net financial debt.
    
    In 2024, 21grams generated total revenue of € 79,4 million with a gross margin of 17,4% and a positive EBITDA of € 1,9 million. As of 31 December 2024, 21grams employed 76 full-time equivalents across Sweden, Norway, and Denmark. The business will now operate under PostNord Strålfors' ownership.
    
    As previously announced, Banqup Group and PostNord Strålfors have signed a strategic partnership agreement to accelerate the rollout of the Banqup platform across the Nordic region. Under the agreement, PostNord Strålfors will act as the exclusive distributor of Banqup in Sweden, Norway, Denmark, and Finland for a period of at least five years and will utilise Banqup’s e-invoicing infrastructure to support its corporate clients in sending e-invoices to destinations outside the Nordics. This partnership is designed to create an interconnected solution, providing broader coverage and more efficient services for clients across and beyond the Nordic region. Both parties are committed to supporting the rollout and development of the Banqup platform and to jointly strengthening the distribution network and customer support services.
