Heerlijk 0.0285 dollarcent per aandeel is het wachten waard geweest!En wat op dit moment natuurlijk ook lekker is dat die dollar t.o.v de euro wat waard is!

Haha, lachen voor de die-hard believers (zoals bekend hoor ik daar zelf niet toe, stupid me). Bedrag valt idd mee, mag je nog blij zijn dat het gaat om $ 0,0285 en niet om $ 0,000285 zoals jij meldt.

WILMINGTON, Delaware USA, June 25, 2012. VIA NET.WORKS, Inc. announced today that its board of directors had authorized the posting of the following questions and answers regarding the current status of the company:

Q. What is the current status of the company?

A. Subsequent to the October 2005 closing of the sale of all its remaining operations to Interoute SA (see article), VIA NET.WORKS (VIA or the Company) adopted a Plan of Complete Liquidation and Dissolution (the Plan of Dissolution) and, on November 4, 2005, filed a certificate of dissolution with the Court of Chancery of the State of Delaware. (Click here to see VIAâ€™s September 2005 Proxy Statement, which included its Plan of Dissolution). As of that date, the Company was dissolved in accordance with Delaware law. Since then, VIA has proceeded in accordance with the Plan of Dissolution. Under the Plan, the Company has proceeded to liquidate its remaining assets, satisfy or make reasonable provisions for its remaining obligations and otherwise has proceeded in accordance with the provisions of Delaware General Corporation Law on the dissolution and winding up of corporations.

The Company maintains a board of directors comprised of two individuals and also has retained two officers. The Company has retained no employees. Both of the officers are retained on a monthly contractual basis to support the board of directors in implementing the Plan of Dissolution.

The Company is not engaged in any revenue generating activities, but does earn nominal interest on its cash reserves. The Company's cash reserves are invested primarily in short term (6 months to 12 months) federally-insured certificates of deposit and money market funds. VIA has ongoing expenses associated primarily with tax reporting, ongoing accounting and administrative services, board and management retainers, and legal and consulting fees, as required.

In August 2010, the Company reported its current position to shareholders (“August Update“). Click here to see the August Update on its website. This notification provides an update to the August Update.

The Company is not prosecuting or defending any legal actions or proceedings. The one outstanding litigation in which the Company had been involved was the so-called IPO Litigation. See August Update for further details. In October 2009, the district court approved a global settlement agreement (Stipulation and Agreement of Settlement dated 1 April 2009) that provides for a release of all claims against the defendants, including the Company, in exchange for an agreed payment to be paid in part by the defendant issuers and in part by the underwriters. Under a separate agreement with the issuersâ€™ insurers, the payment by the defendant issuers is to be paid by the insurers. In January 2012, all appeals in the matter were exhausted and the global settlement is now effective and final.

In March 2012, the Company applied for and received permission from the Delaware Court of Chancery to disburse all its remaining assets to the common stockholders, subject to the payment of outstanding ordinary expenses.

Q. When will the shareholders receive any payment from the liquidation?

A. The board of directors of the Company has approved the final distribution to shareholders. Distributions will be handled by the Companyâ€™s share transfer agent and will be delivered to stockholders of record as of the closing of the stock transfer books of the Company: 5:00 pm EST, November 4, 2005. Shareholders who have acquired a position in the Company since that date should check with their stockbroker on the manner in which they can receive a liquidating distribution. The Company expects that distribution checks will be sent within the next ninety days.

Q. How much cash will be available for distribution to shareholders?

A. As of March 31, 2012, the Company had an estimated $3.17 million in total cash reserves available. Of this amount, the Company has set aside an amount for ongoing expenses relating to officer and director compensation, accounting and legal fees, and final tax filings, together with costs associated with the final distribution of proceeds to the shareholders. In addition, we have set aside a further amount as a reserve for potential liabilities for tax and other matters. After accounting for the reserves, the Company expects to be able to make a final distribution to shareholders of record as of November 4, 2005 in the amount of approximately $3.08 million or $0.0285 per share.

Beste Pitmans!

Uit het verre verleden kan ik mij de discussie over dollars en dollarcenten nog herinneren ik begin er niet opnieuw over maar zoals je ziet had ik geen dollarteken gemeld van te voren dus mag achteraf dollarcent wel.

Je ziet ook dat de eerdere discussie over welke aandeelhouders nu wel of niet een liquidatieuitkering krijgen ook hiermee is opgelost. Of ben je het daar nu nog steeds niet mee eens?

Ook vindt ik dat de Board of directors het netjes hebben gedaan.Niet alles opgemaakt het siert ze.

Ik moet je zeggen dat als ik de uitkering van 0.0285 dollarcent ontvangen heb tegen een dollarkoers van 1.24 t.o.v de euro Via( na Versatel in het verleden )mijn grootste winstgever tot nu toe wordt.

Zal morgen meteen even kontakt opnemen met de Bank.

Kunnen ze mijn rekeningnummer doorgeven aan de transfer agent van Via!

Ben nog steeds erg benieuwd!

Haha, die dollars en centendiscussie was volgens mij nog met Y en die kon ik gewoon geen gelijk geven, punt !

Over wie de liquidatie-uitkering gaat ontvangen, heb ik meen ik al gemeld dat mij voorheen onbekend was dat er onderscheid wordt gemaakt tussen record-shares en street-shares. De record-shares (zeg maar grootaandeelhouders en insiders) worden in de transfer-books bijgehouden en ik ging er dus van uit dat op het moment dat gemeld werd dat de transferbooks gesloten werden, dit voor allestukken gold (met brokers als een soort grootaandeelhouders op het moment van sluiten).
Bleek idd niet te kloppen, de zgn. street-shares zijn de stukken die op de street (via brokers dus) verhandeld worden en die delen toch gewoon mee in de uitkering. Ik neem aan dat hiervoor dan wel een soort record-date vastgesteld zal moeten worden, maar hoe dat geregeld wordt ??

Ik zie wel nog 1 beer op de weg : mogen de stukken eigenlijk wel vrijgegeven worden, nu de SEC de handel in o.a. Via heeft geblokkeerd ? Zal wel loslopen, want anders had Via er ongetwijfeld iets over gemeld. Maar je weet het nooit met Via.

Nogmaals gefeliciteerd !

Ben wel benieuwd hoe Alex omgaat met dat 1 stukje dat ik nog in port heb : wilt u even € 3 afrekenen om € 0,02 te settelen ?

Je zou toch zeggen dat nu de hoogte van de liquidatie uitkering bekend is er weer gewoon handel kan plaatsvinden. De zgn." handel in een bijna leeg beursfonds!"(lol)

Dus binnen 90 dagen (rond half September) uitbetaling. Zal mij benieuwen of de Rabo dit automatisch uitvoert.

Via denkt echter dat iedere niet bij hun bekende aandeelhouder zich via zijn of haar broker wel binnen negentig dagen zal melden.Het staat ze m.i. niets in de weg om nu tot uitkering over te gaan.
Het exacte bedrag is echter nog niet bekend en daar is denk ik het wachten op. Wellicht wordt er afgerond naar boven 0.03 ofzo.Ook zou het nog goed kunnen nu er geen claim of andere schuld meer is dat een andere partij ons 0.05 biedt voor de notering.

Even zat ik te denken dat het te hopen is dat er toch voor de uitkeringsdatum weer gehandeld kan worden in aandelen Via.

Volgens mijn berekening kan je nu nog makkelijk 0.07 dollarcent bieden!

Indien je binnen nu en 3 maanden de zekere uitkering krijgt maak je toch ruim 4% winst. Is toch weer meer dan een spaarrekening en gegarandeerd!

Of ben ik abuis?

Er zal wel eerst een aanmeldings periode komen. En ik verwacht (hoop) dat dit aanmelden door de banken (brokers) wordt gedaan.Het afronden lijkt me niet mogelijk. Wel een eventuele overname om een beursgang en kosten van een beursgang uit te sparen. Euwige rijkdom bedankt voor de info.

Bij een liquidatie-uitkering gaat alles vanzelf, een aanmelding is er niet.

Sir,

The Company de-registered its shares from the Securities & Exchange
Commission in November 2005. Any trades after that date were private
transactions. The company does not participate or regulate the manner
in which private transactions are handled. So, the answer is, we do
not know if the OTC transactions will re-start.

Dit kreeg ik als antwoord op mijn vraag of Via wellicht wist of er na de laaste update weer gehandeld zou gaan worden in aandelen Via OTC.

Het lijkt erop dat Via niets meer te maken heeft met die handel voor zover zij dat in het verleden wel hadden????
Begrijpen doe ik het niet helemaal!?

Hoe langer het duurt hoe groter de uitkering.Mss wordt het afgerond wel 0.03 dollarcent.UIteindelijk rendeert het bedrag ongeveer 0.62 procent per jaar.Ook zakt de euro tov de dollar steeds verder en dat is als wij straks in euro's uitbetaald krijgen toch ook prettig.Wat echter jammer blijft is dat er geen handel meer is in VIa.
