Tov 14 ct lijkt 9,5ct mij erg goedkoop.
www.stockhouse.com/news/newswire/2015...

As part of the agreement, Aldrin will make semi-annual payments to Fission 3 of $100,000 during the earn-in period. The semi-annual payments may be made in cash or equivalent Aldrin shares at the option of Aldrin. Fission 3 will be the operator of the projects and will be compensated with an Operator Fee equal to 10% of Key Lake expenditures.

Fission Hits 28.32% U3O8 Over 12.0M at R600W Zone

PLS15-352 returns one of the top five strongest mineralized holes at PLS and continues the strong, high-grade growth of shallow, land-based R600W
KELOWNA, BRITISH COLUMBIA--(Marketwired - May 4, 2015) - FISSION URANIUM CORP. (TSX:FCU)(OTCQX:FCUUF)(FRANKFURT:2FU) ("Fission" or "the Company") is pleased to announce assays from ten angled holes drilled on the R600W, R00E and R780E zones at its' PLS property, host to the Triple R deposit, in Canada's Athabasca Basin region. Of exceptional note is the continued strong growth of the land-based R600W zone. Located half a kilometer west of the Triple R deposit, this zone is an important and extremely prospective area with world-class grades and near-surface mineralization similar to the Triple R deposit. Drilled at this zone, hole PLS15-352 (line 615W) returned high-grade, shallow depth mineralization including 28.32% U3O8 Over 12.0M within a larger interval of 11.09% U3O8 over 31.5m. With a grade x thickness (GT) value of 349.5, this exceptional intersection places PLS15-352 as one of the top five strongest mineralized holes at PLS and is further validation of the potential and importance of the high-grade discovery of the R600W zone.

Ross McElroy, President, COO, and Chief Geologist for Fission, commented,

"We are continuing to see spectacular high-grade growth at R600W. With high-grade mineralization very near to surface, this land-based zone is located half a kilometer on trend from the Triple R deposit and remains open in all directions. The strength of the assays and robustness and style of the intersection show remarkable similarities to the Triple R deposit and continue to impress us. The addition of the spectacular mineralized intersection in PLS15-352, significantly upgrades the potential of the R600W zone. We are also very pleased to see further R780E zone growth on multiple lines."

Government board rules against Arctic uranium mine
Andrew Topf | May 10, 2015

A $2.1 billion proposal to build a uranium mine in the Canadian far north will not be proceeding anytime soon.

The Nunavut Impact Review Board, which was evaluating public hearings about the proposed mine in the Nunavut territory, has recommended against the project at this time, though not indefinitely. "[S]ince Areva's Kiggavik project lacks a definite start date or development schedule, its environmental and social impacts cannot be properly assessed," CBC News reported on Friday.

The decision appears to have been based on statements from Areva, the French nuclear giant, which acknowledged that with uranium prices being so low, it could be up to two decades before construction actually begins. However the Nunavut Impact Review Board opened the door to another evaluation if and when a start date becomes more firm.

"The board does not intend that this project not proceed at any time. The board intends that the Kiggavik Project may be resubmitted for consideration at such future time when increased certainty regarding the project start date can be provided," Review Board chair Elizabeth Copland stated in a letter Friday to Aboriginal Affairs and Northern Development Minister Bernard Valcourt.

Areva has a 64.8 percent interest in the deposit, located just west of Baker Lake; in 2014 the company filed the final Environmental Impact Statement with the Nunavut Environmental Review Board.

If approved, the $2.1 billion project would include an underground mine and four open pits. At least 400 jobs would be provided, many reserved for local Inuit, with an annual payroll of $200 million for at least 17 years, according to CTV News.

However the mine has also seen opposition from environmentalists and local First Nations who say the Kiggavik project impinges on important caribou calving grounds.

Two years ago Areva Resources Canada – a subsidiary of its French parent – resumed test drilling at Kiggavik, and opened a winter road to move fuel and other supplies to the site.

So, what does the future look like for uranium?

In the short term (aka this year), I believe it's likely we'll see uranium prices rise but it's difficult to see them going higher than US$45 per lb. at the spot level. Looking a little longer term, it's worth noting that, according to uranium market analyst, David Talbot, around 15-20% of the uranium required to operate the 437 reactors around the world is still uncovered for 2016-2017. In other words, we're going to start seeing more buying and much stronger upwards price pressure.

Further down the road is where things start looking very interesting indeed and it's likely we are going to see a violent upswing. Primary supply (from mines) has been less than reactor demand for decades. Secondary supply has done an excellent job of picking up the slack but, as primary supply continues to stagnate and even shrink, secondary sources won't be able to cope with the coming growth in demand.

To make matters worse from the supply side, low uranium prices have deterred many new exploration projects and when you combine this with the toughest permitting process of any commodity, you start to realise that the new primary supply projects that can be taken into production is a small, highly select few.

It's tough to make predictions for any commodity, particularly one like uranium which is especially vulnerable to sentiment-led downturns and security of supply-led upturns. However, analysts are starting to agree that an unavoidable supply deficit is headed our way by 2020 and I think it can be safely assumed that we'll see increased by from utilities well in advance of that deficit so that they are not caught unprepared. However you look at it, that's going to mean exciting times for anyone involved in the supply side.

Fission Expands R600W Zone and Discovers New High-Grade Mineralization 25m North of R600W
High-grade holes also expand the Triple R's shallow-depth R780E zone
KELOWNA, BRITISH COLUMBIA--(Marketwired - June 15, 2015) - FISSION URANIUM CORP. (TSX:FCU)(OTCQX:FCUUF)(FRANKFURT:2FU) ("Fission" or "the Company") is pleased to announce assays from nine angled holes drilled on the R600W, R780E and R1620E zones at its' PLS property, host to the Triple R deposit, in Canada's Athabasca Basin region. Of exceptional note, the large high-grade area of the Triple R's R780E zone has grown on multiple lines. In addition, the shallow, high-grade R600W zone has been confirmed with a strike length of 60m, with strong mineralization on both the east and western sides of the zone. In addition, a new potential parallel high-grade area has been discovered 25m north of the R600W zone on line 585W. All nine holes are mineralized, with seven holes returning large, high-grade intervals. In particular, hole PLS15-375 (line 480E), returned a key interval of 11.91% U3O8 over 8.0m in 3.33% U3O8 over 30.5m.

Fission Hits 8.04% U3O8 Over 19.5m in 3.82% U3O8 Over 43.5m; Expands Triple R Footprint
Triple R Deposit's R780E zone expands with eight high-grade holes

KELOWNA, BRITISH COLUMBIA--(Marketwired - June 29, 2015) - FISSION URANIUM CORP. (TSX:FCU)(OTCQX:FCUUF)(FRANKFURT:2FU) ("Fission" or "the Company") is pleased to announce assays from the remaining twelve angled holes drilled on the R780E zone at its PLS property, host to the Triple R deposit, in Canada's Athabasca Basin region. Of exceptional note, hole PLS15-379 (line 540E) returned a key interval at shallow depth of 8.04% U3O8 over 19.5m in 3.82% U3O8 over 43.50m. All twelve holes are strongly mineralized, with eight holes returning large, high-grade intervals.

Due to the very shallow nature of the mineralization at PLS, Fission was able to drill 82 holes during the program - by far the largest number of holes of any company exploring the Basin this winter. 50 of the 51 holes targeted on growth of the Triple R's R780E zone this winter were mineralized, returning composite assayed intervals exceeding a cut-off of greater than 0.05% U3O8 over 0.5m. The overall footprint of the R780E zone has been expanded to the east along strike, laterally north and south and vertically up and down-dip.

Denison Mining (NYSEMKT:DNN) agrees to acquire Fission Uranium (OTCQX:FCUUF) for ~C$483M ($382M) to expand its presence in the Athabasca mining region in Saskatchewan.
DNN says the deal that implies a price per Fission common share of C$1.25, representing a ~18% premium to the 30-day volume weighted average price of Fission's shares.

Toronto big board miner Denison Mines (TSX:DML, Forum) and Athabasca front runner Fission Uranium (TSXV:FCU, Forum) have announced they will combine their respective businesses in a bid to create the leading Canadian uranium player in the Athabasca region.

As part of the deal, Fission shareholders will receive 1.26 common shares of Denison for every Fission share they own, plus a negligible cash amount of 1c per 1000 shares.

The new company, which will bring a market cap of approximately $900m, will be named Denison Energy Corp and will be evenly split in ownership between shareholders of the two companies.

At a value of around $1.26 per share, the deal gives Fission shareholders an assumed 18% premium on the 30-day volume weighted average price of $1.06.

Dev Randhawa, Chairman & CEO of Fission, stated: "This merger will create the uranium industry's leading exploration and development company at a time when the sector is poised for growth. Denison has a strong, diversified portfolio and, with the Triple R deposit, Fission is bringing the Athabasca Basin's largest undeveloped high-grade resource as well as a successful and award-winning technical and management team."

The companies suggest the deal will bring significant valuation upside, with increased liquidity, free cash flows from the toll-mining of ore from the Cigar Lake Mine, a dominant land package in both the eastern and western Athabasca areas, and a consolidation of strategic assets.

The new combo company will feature a murderer’s row of heavy hitters on the executive side, with billionaire resource magnate Lukas Lundin taking the Chairman role, Fission CEO Dev Randhawa continuing in that role in the larger company, Ross McElroy serving as President and COO, and David Cates taking the CFO responsibilities.

Shareholders on both sides will need to ratify the agreement with a 2/3 vote of approval. Both Boards have recommended shareholders vote in favour of the transaction.

Denison has uranium exploration interests in both exploration and development in Canada, Zambia, Mali, Namibia and Mongolia. Fission has a sizable stake in the Patterson Lake South uranium region and has registered a consistent flow of off-scale results in the area.

Speculation that Fission would be bought out, or buy out competitors, has been rife for over a year now, with Randhawa occasionally hinting at deals on the horizon. The company acquired Alpha Minerals in late 2013, and subsequently spun off Fission 3.0 (TSXV:FUU, Forum), re-acquiring 12% of the company in February of this year.

Speculation on the Stockhouse Fission Bullboards is rife that a hostile counter-bid will show up before the shareholder vote takes place, with Cameco seen as a likely suitor. Confirmation on whether that's wishful thinking of not will come later, but there also seems to be much discussion among shareholders that the premium offered by Denison was not what they'd hoped.

Denison and Fission Announce Transaction to Create Leading Diversified Uranium Company
T.DML, DNN, V.FCU | 8 hours ago

TORONTO, ONTARIO--(Marketwired - July 6, 2015) - Denison Mines Corp. (TSX:DML)(NYSE MKT:DNN) ("Denison") and Fission Uranium Corp. (TSX:FCU)( ("Fission") are pleased to announce the execution of a Binding Letter Agreement (the "Binding Agreement") to combine their respective businesses (the "Transaction"). The Transaction creates a leading Canadian focused diversified uranium company - combining high quality assets and the management teams of two highly respected companies. Headlining the asset portfolio of the combined company will be two world class uranium exploration and development projects: Fission's 100% owned Patterson Lake South Project, and Denison's 60% owned Wheeler River Project, both located in the prolific Athabasca Basin, in Northern Saskatchewan, Canada.

Subject to the terms set out in the Binding Agreement, Fission common shareholders will receive 1.26 common shares of Denison for each common share of Fission held plus $0.0001 per share in cash. Upon completion of the Transaction, the combined company, to be named "Denison Energy Corp.", will be approximately 50% owned by each of Denison's and Fission's existing shareholders on a fully-diluted in-the-money basis. The market capitalization of Denison and Fission on a combined basis is anticipated to be approximately CAD$900 million. Based on the 30 day volume weighted average price of Denison's shares on the TSX of CAD$0.99 as at July 3, 2015, the offer implies a price per Fission common share of CAD$1.25 and represents a premium of approximately 18% to the 30 day volume weighted average price of Fission's shares on the TSX of CAD$1.06 as at July 3, 2015.

Ron Hochstein, Executive Chairman of Denison, commented: "The continued exploration success at our Phoenix deposit and Gryphon discovery, in combination with the discovery and exploration success of the world class Triple R deposit puts the combined company in an incredibly strong strategic position, with the most significant development portfolio in the world. We are confident that our shareholders will benefit from the value creation opportunities that will be realized through an expanded and more diversified uranium company."

Transaction Highlights

Consolidation of Strategic Uranium Assets: An unrivaled portfolio of strategic uranium asset interests in the Athabasca Basin, headlined by Fission's 100% owned PLS Project and Denison's 60% owned Wheeler River Project and including Denison's interests in the Midwest, McClean Lake, Waterbury Lake, Mann Lake, and Wolly projects, as well as Denison's strategic 22.5% ownership interest in the McClean Lake Mill;

Continued Exploration Potential: Exploration foothold in both the historically prolific Eastern Athabasca Basin and the emergent Western Athabasca Basin, with a dominant combined land package of over 430,000 hectares and a sizeable base of mineral resources defined under NI 43-101, providing the foundation for future resource growth.

Free Cash Flows: The toll-milling of ore from the Cigar Lake mine under a toll milling agreement between the McClean Lake Joint Venture and the Cigar Lake Joint Venture and management fees from Uranium Participation Corporation are expected to provide the combined company with a source of cash in the future to fund its activities;

Complimentary Combined Management Team: Management from Fission and Denison will be combined, offering expertise and skill in the uranium industry and mergers and acquisitions, as well as the proven ability to finance ambitious exploration programs and successfully explore and develop uranium mining projects;

Increased Liquidity: Increased scale is expected to enhance trading liquidity and access to global capital markets; and

Valuation Upside: Various monetization options in respect of Denison's African exploration and development portfolio, including the Falea project in Mali and the Mutanga project in Zambia, are being considered by the combined company and may be pursued when market conditions permit.
