Homburg Invest faces delisting, files for protection under CCCAA

Homburg Invest (TSE:HII) announced Monday its application for protection under the Canadian Companies' Creditors Arrangements Act (CCCAA) has been accepted, though the company still faces delisting as its shares in Toronto have been suspended while the TSX conducts a review of the company.

On Friday, the real estate restructuring firm filed for protection under the CCCAA in an attempt to enhance its balance sheet and return value to shareholders.

While making clear that it is not bankrupt, Homburg Invest said its arrangement with the CCCAA will allow it to restructure its business and its financial affairs without being required to discontinue its operations.

Still, the company faces delisting as the TSX announced today it has halted from trading all shares of the company, pending a full review.

The insolvent company said it will ensure that all stakeholders will be kept abreast of all developments related to the CCCAA process, including the launch of a website no later than Thursday that will further address the company's position.

Homburg Invest holds a stake in Homburg Canada Real Estate Investment Trust, though it is not part of the CCCAA claim.

On Friday, the Halifax, Nova Scotia-based company's shares were trading at 82-cents before being halted.

Kunnen jullie even met mij meedenken.....

Homburg Invest heeft recentelijk 34.5 milj Euro bijgeschreven door verkoop van ongeveer 4.5 % in Homburg REIT. Ze hebben dus nog 16.1 % die ze zouden kunnen verkopen voor ongeveer 130 milj euro.
Redelijk wat geld om te kunnen herstructureren lijkt mij.

Verder heeft Richard Homburg zijn belangen ondergebracht bij een stichting waardoor de obligatiehouders het nu voor het zeggen hebben. Ook niet ongunstig lijkt mij.

Daarnaast heb ik altijd begrepen dat vanwege de canadese wet al het onroerend goed op de balans van Homburg Invest op 0.00 euro staat dus zodra zij 1 onroerendgoed object verkopen is er ook direct weer een positief bedrijfsresultaat.

Wie kan hier wat zinnigs over zeggen ???

Homburg Invest Provides Further Information About Stakeholder Communications and the CCAA Process

MONTREAL, Sept. 12, 2011 /CNW Telbec/ - (TSX: HII.A & HII.B and NYSE Euronext Amsterdam: HII) -On Friday, September 9, 2011, the application by Homburg Invest Inc. ("HII" or the "Company") and certain of its affiliates for protection under the Canadian Companies' Creditors Arrangements Act ("CCAA") was granted by the Court. What is CCAA?

The CCAA process is carried out under the supervision of the Canadian Court (Quebec Superior Court) which appoints a Monitor to oversee proceedings. Samson Bélair / Deloitte & Touche Inc. ("Deloitte & Touche") is the Court-appointed Monitor that will oversee HII proceedings under the CCAA. Communication Channels for Debt Holders, Creditors, Shareholders and Other Stakeholders,
In addition to information available to creditors and other stakeholders on the Deloitte & Touche web site, HII is taking several measures to ensure that stakeholders will be kept fully apprised of all developments in connection with the CCAA process.

HII has engaged public relations firms in the Netherlands and in Canada.

In Canada, NATIONAL Public Relations in Montreal has been engaged to advise the Company and coordinate its Canadian and global communications strategy and activities.

In the Netherlands, Cohn & Wolfe in Amsterdam has been engaged to coordinate communications with bondholders, creditors and other stakeholders in the Netherlands.

HII has created a new web site address to provide information to stakeholders. Toll-free telephone numbers for Netherlands stakeholders will also be made available in the next few days to enable stakeholders to contact and speak directly to representatives of the Company, who will provide additional information, if available.

HII will issue a press release indicating the website addresses and toll free telephone numbers, as soon as they are up and running, but no later than this coming Thursday September 15, 2011.

Lijkt me logisch, dit is gewoon een koopje op dit moment. Die Homburg lacht zichzelf de pleuris. Naar de beurs gaan voor volgens mij iets van 4,50 euro en dan terugkopen voor 30 cent, mooi toch ???

Hij is naar de beurs gegaan voor 45 euro,we hebben 1 keer 10 aandelen omgewisseld voor 1 stuks.

blijkbaar is 34,5 miljoen euro al voldoende om te herstructureren, anders hadden ze wel meer aandelen verkocht lijkt mij.
hopelijk gaat het koersherstel van vandaag nog even doorzetten.

Een flinke UP vandaag. De grootste stijger.

Alles blijft natuurlijk wel afhankelijk van de eventuele toestemming tot herstructurering want alleen dan kan en mag er weer gehandeld worden in Canada. ant anders volgt wel degelijk faillisement. Homburg Invest kan namelijk zijn rekeningen niet meer betalen maar heeft nog zeker 16.1 % van de aandelen van REIT in bezit en het nodige vastgoed wat ze zouden kunnen verkopen. De TSX ( Canadian Stock Exchange) heeft de handel al een week stilgelegd in afwachting van het besluit om te de-listen.
Dus wel op blijven passen met dit aandeel.

Ook onder canadese wetgeving blijkt dat je met herstructurering EN beschermd bent tegen mogelijke schuldeisers EN er gewoon gehandeld kan worden op de beurs.
Hetzelfde speelt natuurlijk bij Saab maar dat is al uitvoerig besproken.

Nederlandse wetgeving kent volgens mij zo iets niet als "herstructurering" of "vrijwillige reorganisatie " met bescherming tegen schuldeisers. In NL ben je gewoon solvabel of failliet. Een middenweg is er niet.

Koers blijft mooi liggen na de giga stijging van afgelopen vrijdag. Zou boven de 0.40 cent vandaag nog gehaald worden ??
Ik ben trouwens benieuwd wanneer er weer gehandeld mag worden in Canada want ook onder de herstructurering kan er gewoon gehandeld worden.

Homburg REIT heeft overigens een miljoenen ( 114 milj.) investering gedaan in een aantal winkelcomplexen.( 29 stuks) Zie onderstaande link.

Nu is Homburg REIT afgesplitst van Homburg Invest maar Homburg Invest heeft nog steeds een belang van 16.1 % in REIT. Dus indirect ook goed nieuws voor Homburg.

Jammer dat de stijging niet heeft doorgezet. Hopelijk morgen weer een nieuwe kans.
Het valt mij wel op dat er de laatste week ( eigenlijk sinds Homburg in Canada opgeschort is) veel meer verhandeld wordt dan normaal. Soms wel 4 tot 6 keer het dagelijkde gemiddelde met veel bestens aankopen.

Vanavond heb ik via de website de vraag gesteld wanneer "men" denkt dat de handel in Canada weer hervat kan worden. Want volgens mij kun je, terwijl je in het proces zit van herstructurering, toch nog gewoon handelen. ( Zie Swedish Automobile).
Tevens heb ik gevraagd of zij deze vraag ( en straks met antwoord natuurlijk) willen plaatsen op de speciale website die nu in lucht is v.w.b. de ontwikkelingen bij Homburg Invest.

Zodra ik antwoord heb zal ik dit met jullie delen op dit forum

Accessibility Links Beginning of Story ContentThe company that owns Charlottetown's new Holman Grand Hotel has filed for creditor protection. CBCGlobal real estate firm Homburg Invest owes a P.E.I. Crown corporation $13 million, according to a list of creditors released this week.

Homburg Invest, part of a group of connected companies using the Homburg name, filed for creditor protection earlier this month in the hopes of restructuring its debt and avoiding bankruptcy. It owns several Charlottetown properties, including the new Holman Grand Hotel on Grafton St.

The list shows $13 million owing to Island Investment Development Inc, a Crown corporation, as well as a total of more than $2 million owed to 29 private Island companies. Amongst the private creditors are several that were contracted to work on the new hotel.

In a letter sent to Homburg Invest's creditors from the court-appointed monitor Deloitte and Touche, creditors are told the company is trying to come up with a plan to get its financial house in order. Once that plan is complete, creditors will be able to submit their claims against Homburg and attend a meeting to vote on the proposed plan.

If Homburg Invest doesn't emerge from creditor protection, it may have to sell assets to pay off some of its debt. It's not clear what that could mean for P.E.I. taxpayers, creditors or the new Holman hotel.

When asked about Homburg's troubles last week, P.E.I. Innovation Minister Allan Campbell said his government was dealing with a number of solvent Homburg companies, and there was no cause for concern.
